Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Raven's websites, applications, and related services (the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Purchases through Paddle

When you buy a paid Raven plan or complete a related paid transaction via our checkout, Paddleis the authorised reseller and merchant of record for that purchase. You enter into the payment transaction with Paddle under Paddle's buyer terms: https://www.paddle.com/legal/buyer-terms. Refunds for those charges follow Paddle's Refund Policy (see our Refund Policy page). These Terms govern your use of the Service as the software supplier; they do not replace Paddle's terms for the payment transaction.

3. The Service

Raven provides software and infrastructure intended to help you manage communications across supported integrations. Features may change over time, including during beta or preview periods. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

4. Eligibility and accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly if you suspect unauthorized access.

5. Acceptable use

You agree not to:

• Use the Service in violation of law or third-party rights
• Send spam, malware, or deceptive content, or attempt unauthorized access to systems or data
• Reverse engineer, scrape, or overload the Service except as permitted by law
• Misrepresent your identity or affiliation, or interfere with other users' use of the Service

We may investigate violations and suspend or terminate access when we reasonably believe it is necessary to protect the Service, users, or the public.

6. Third-party services and integrations

The Service may interoperate with third-party platforms (for example messaging providers). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services, and your use of them is at your risk. You represent that you have the rights and permissions needed to connect those services.

7. Your content

You retain rights to content you submit, upload, or route through the Service, subject to the rights you grant us to operate the Service. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use your content as reasonably necessary to provide and improve the Service, enforce these Terms, and comply with law.

8. Intellectual property

Raven and its licensors own the Service, including software, branding, and documentation. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAVEN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

11. Indemnity

You will defend, indemnify, and hold harmless Raven and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms, risk to the Service, legal requirements, or non-payment (if applicable). Provisions that by their nature should survive will survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict of law principles, except that certain jurisdictions may require that mandatory consumer protection rules of your country apply. Courts in Delaware (or another forum we designate in a separate agreement with you) may have exclusive jurisdiction for disputes, where permitted by law.

14. Changes

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where your consent is required by law.
